Terms & Conditions

  1. 1. ACCEPTANCE OF TERMS

    These terms and conditions ("Agreement") are entered into by and between Way2Pay India, a corporation registered in India ("Service Provider"), and the client specified in the project agreement ("Client"). This Agreement governs the provision of software development and IT services.

  2. DEFINITIONS

    2.1 Services: Refers to the software development, IT consulting, customization, and support services provided by Way2Pay India to the Client.

    2.2 Project Agreement: Any written agreement or statement of work outlining the scope, deliverables, and terms of a specific project.

  3. SOFTWARE DEVELOPMENT AND IT SERVICES

    3.1 Scope of Work: Way2Pay India agrees to provide software development and IT services as per the specifications outlined in the Project Agreement.

    3.2 Changes: Any changes to the project scope must be agreed upon in writing by both parties. Additional charges may apply for changes outside the original scope.

  4. DELIVERY AND ACCEPTANCE

    4.1 Delivery: Way2Pay India will deliver the software or services to the Client by the agreed-upon delivery date.

    4.2 Acceptance: The Client will have a reasonable period, as defined in the Project Agreement, to review and test the deliverables. Acceptance will be deemed unless the Client provides written notice of defects within this period.

  5. FEES AND PAYMENT

    5.1 Fees: The Client agrees to pay Way2Pay India the agreed-upon fees for the Software Development and IT Services as outlined in the Project Agreement.

    5.2 Payment Terms: Payment is due within 07 days of the invoice date. Late payments may be subject to extra penalty per month on the outstanding balance.

  6. INTELLECTUAL PROPERTY

    6.1 Ownership: The Client acknowledges that all intellectual property rights to the software and services developed belong to Way2Pay India until full payment is received. Upon payment, the Client is granted a non-exclusive, non-transferable license to use the software.

    6.2 Confidentiality: Both parties agree to keep confidential all proprietary and confidential information received from the other party during the term of Agreement.

  7. SUPPORT AND MAINTENANCE

    7.1 Support: Way2Pay India will provide support services as outlined in the Project Agreement.

    7.2 Maintenance: Way2Pay India will provide updates and patches to the software as necessary to ensure proper functionality.

  8. LIMITATION OF LIABILITY

    8.1 Exclusion of Consequential Damages: Way2Pay India shall not be liable for any indirect, consequential, or incidental damages arising out of or related to Service Agreement.

  9. TERMINATION

    9.1 Termination for Convenience: Either party may terminate Agreement for convenience with 03 days written notice.

    9.2 Termination for Cause: Either party may terminate this Agreement if the other party breaches a material term and fails to remedy the breach within 05days of written notice.

    9.3 Way2pay India have complete rights to Terminate Partnrs or Websites/Projects/Any Solutions provided by WAY2PAY INDIA if any suspicious Activity found on completed or Ongoing Projects.

  10. GOVERNING LAW

    This Agreement shall be governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with this Agreement shall be resolved through arbitration in accordance with the rules of Indian Law .
